Planning aid, not a term-sheet model. This uses standard priced-round dilution math (New Investor % = Amount Raised ÷ Post-Money Valuation) and models an ESOP pool top-up as happening pre-money (the common market practice, where the pool expansion dilutes existing shareholders, not the incoming investor). It does not model convertible notes/SAFEs, liquidation preferences, anti-dilution protection, or secondary sales — real term sheets can change outcomes materially.

Starting Cap Table

Founders % + ESOP % cannot exceed 100. If they add up to less than 100, the balance is shown as "Other existing holders" (for example angels or early investors) so the cap table always totals 100%. For founders who own everything except an existing 10% ESOP, enter Founders = 90 and ESOP = 10.
